  • These Terms and Conditions form a legally binding agreement between you and Switch Accounting

This agreement establishes a professional client-service provider relationship governed by Australian accounting standards and regulations.

2. Services provided

Switch Accounting provides professional accounting and financial services including:

  • Financial Growth Strategy: strategic financial planning and growth consulting
  • Systems Implementation: accounting systems setup and process optimisation
  • Bookkeeping: ongoing financial record management and reporting
  • Business Advisory: strategic business advice and financial analysis
  • Compliance Support: support with operational and business compliance processes (non-tax)

All services are subject to availability and may be customised based on your specific business needs.

3. Professional standards and obligations

3.1 Confidentiality

We maintain strict confidentiality of all client information in accordance with:

  • Tax Practitioners Board Code of Professional Conduct
  • Australian Privacy Principles (APPs)
  • Professional accounting confidentiality requirements

4. Client responsibilities

4.1 Information provision

You agree to:

  • Provide accurate and complete financial information
  • Grant timely access to necessary business records and documents
  • Respond promptly to requests for additional information
  • Maintain proper business records as required by law

4.2 Legal compliance

You are responsible for:

  • Ensuring all business activities comply with applicable Australian laws
  • Implementing our recommendations appropriately for your business
  • Meeting all regulatory deadlines and requirements
  • Maintaining adequate business insurance and risk management

4.3 Fees and payments

  • Pay all fees and charges within agreed timeframes
  • Provide advance notice of any billing disputes
  • Maintain current contact and billing information

5. Service limitations and disclaimers

5.1 Professional advice

  • Our advice is based on information provided by you and current laws/regulations
  • Business outcomes depend on various factors beyond our control
  • We provide professional opinions, not guarantees of specific results
  • You remain responsible for all business decisions and their outcomes

5.2 Service scope

  • Services are limited to those specifically agreed upon in our engagement letters
  • We do not provide legal advice
  • We do not provide tax agent services (including preparing or lodging income tax returns, BAS or IAS)
  • Investment advice is general in nature and not personal financial advice
  • We are not responsible for third-party service provider performance

5.3 Collaboration with your tax accountant

We can work collaboratively with your nominated tax accountant or tax agent. At your request, and subject to your written authority, we may share relevant financial records and reports with them to support their work. Any tax advice, preparation or lodgement remains the sole responsibility of your appointed tax professional.

5.3 Consumer guarantees (ACL)

Nothing in these Terms limits any rights you may have under the Australian Consumer Law (ACL). If you are a consumer, our services come with guarantees that cannot be excluded. Where permitted by law, and in the case of services supplied to a business, our liability is limited as set out below.

6. Fees and payment terms

6.1 Fee structure

  • Fees are based on agreed hourly rates, fixed fees, or value-based pricing
  • All fees are quoted excluding GST (where applicable)
  • Travel time and expenses may be charged separately
  • Fee estimates are provided in good faith but may vary based on scope changes

6.2 Payment terms

  • Payment terms are typically 14 days from invoice date
  • Interest may be charged on overdue accounts
  • We reserve the right to suspend services for unpaid fees
  • All charges are in Australian Dollars (AUD)

7. Limitation of liability

7.1 Professional indemnity

We maintain professional indemnity insurance as required by professional standards.

7.2 Liability limitations

To the extent permitted by law:

  • Our liability is limited to the fees paid for the specific service in question
  • We are not liable for consequential, indirect, or punitive damages
  • Our advice is provided in good faith based on available information
  • Business outcomes are influenced by factors beyond our professional services

Nothing in this clause is intended to limit rights or remedies that cannot be excluded under the ACL.

7.3 Client acknowledgment

You acknowledge that:

  • Professional services involve professional judgment and interpretation
  • Business and regulatory environments are subject to change
  • You retain ultimate responsibility for business decisions and compliance

8. Termination

8.1 Termination rights

Either party may terminate services with reasonable written notice, subject to:

  • Completion of work in progress
  • Final settlement of all fees and charges
  • Return of client documents and records
  • Professional obligations regarding ongoing compliance matters

8.2 Survival of terms

Confidentiality, fee payment, and professional obligations survive termination of this agreement.

9. Intellectual property and work product

9.1 Client information

All client financial information and business data remains your property.

9.2 Professional work product

  • Reports, analyses, and recommendations prepared for you remain your property
  • Our methodologies, templates, and professional processes remain our intellectual property
  • You may not reproduce or share our proprietary methods without consent

10. Communication and technology

10.1 Communication methods

We communicate via phone, email, video conference, and in-person meetings as appropriate.

10.2 Technology security

  • We implement appropriate security measures for electronic communications
  • Email communication carries inherent security risks you accept by using this method
  • You are responsible for maintaining security of your own systems and data

11. Dispute resolution

11.1 Initial resolution

We encourage direct communication to resolve any service concerns or disputes.

11.2 Professional standards

Disputes may be escalated to relevant industry bodies or regulators, where applicable.

11.3 Governing law and jurisdiction

These Terms are governed by the laws of New South Wales, Australia. Each party submits to the non-exclusive jurisdiction of the courts in that State and courts entitled to hear appeals from them.

12. Changes to these Terms

We may update these Terms from time to time. Significant changes will be communicated through:

  • Direct notification to active clients
  • Updated terms posted on our website
  • Discussion during regular service interactions

Continued engagement of our services constitutes acceptance of the updated Terms.
